I've been doing the same thing with QuickTime Pro. After downloading a TV show (yeah... sue me...), I open it in QuickTime Pro, and simple do a Save As... to output the movie to a self-contained QuickTime file. I haven't tried MP4, but I would assume it would work the same way...

And as far as Codecs go, I use Perian which is great, Flip4Mac for WMV files (if I really need to...) and 3ivX.
